These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Hero Hub Inc., an Idaho corporation doing business as Herohub ("Herohub," "we," "our," or "us"), governing your access to and use of Herohub’s services, websites, applications, platforms, tools, and content, including but not limited to
https://herohub.com, the Herohub App, the Herohub Platform, DealerHero Portal, DealerAI simulations, and all related products and services (collectively, the "Services").
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1. Acceptance of Terms
These Terms govern your use of the Services. By accessing or using the Services, you agree to these Terms and our
Privacy Policy, which is incorporated by reference.
2. Changes to Terms
Herohub reserves the right to modify these Terms at any time. Updated versions will be posted with a new effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
3. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age and that you have the legal capacity to enter into these Terms.
4. Account Registration and Access
To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, complete, and current information and to update it as needed. You are responsible for safeguarding your account credentials and for all activities occurring under your account. You agree not to share your credentials and to promptly notify Herohub of any unauthorized access.
5. Intellectual Property Rights
All content, trademarks, service marks, logos, software, and materials made available through the Services are owned by or licensed to Herohub and are protected by intellectual property laws. You may not use, reproduce, distribute, modify, or create derivative works from any content without our express written permission.
6. License and Acceptable Use
Subject to your compliance with these Terms, Herohub grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. You agree not to:
- Reverse engineer, decompile, or disassemble any aspect of the Services;
- Use the Services for any unlawful purpose;
- Interfere with or disrupt the operation or security of the Services;
- Misrepresent your identity or affiliation with any person or entity;
- Access the Services for the purpose of building a competitive product or service.
7. Confidentiality and Proprietary Information
By accessing the Herohub Platform, DealerHero Portal, or other proprietary systems, you acknowledge that you may be granted access to confidential, proprietary, and trade secret information owned by Herohub and its clients, including but not limited to training content, business strategies, reports, analytics, roleplay simulations, feedback, data, and communications ("Confidential Information"). You agree to maintain the confidentiality of all such information and not to disclose, share, reproduce, or use it for any purpose outside the scope of your authorized use of the Services.
Any content, materials, submissions, data, or contributions that you upload, submit, or provide through the Services becomes the exclusive property of Herohub, including without limitation responses to training simulations, surveys, forms, performance submissions, and AI interactions. You grant Herohub a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, and distribute such content for purposes including but not limited to analysis, quality improvement, benchmarking, training, and development of future services.
8. Fees and Payments
Some Services may be subject to fees. You agree to pay all applicable charges as described at the time of purchase or subscription. Fees are non-refundable unless expressly stated otherwise.
9. AI-Driven Interactions and Simulations
Certain Services use AI technologies, including DealerAI and conversational training tools. These features may simulate real-time conversations, provide feedback, and generate performance insights. These simulations are intended solely for training and educational purposes and are not used to make employment or legal decisions.
10. Third-Party Services and Links
The Services may include links or integrations with third-party websites, platforms, or services. Herohub is not responsible for the content, policies, or practices of such third parties. Use of third-party services is subject to their respective terms.
11. User Conduct and Community Standards
You agree not to upload, post, transmit, or otherwise make available any content that is unlawful, defamatory, harassing, obscene, or disruptive to the learning environment. Herohub reserves the right to moderate, remove, or restrict access to any content or user violating these standards.
12. Service Availability and Modifications
Herohub does not guarantee continuous availability of the Services and may suspend access for maintenance or updates. We will make reasonable efforts to notify users of planned outages.
13. Electronic Communication and Consent
By using the Services, you consent to receive communications electronically. All agreements, notices, disclosures, and other communications shall satisfy any legal requirement that such communications be in writing.
14. Feedback and Suggestions
Any feedback, ideas, or suggestions you submit may be used by Herohub without restriction or compensation.
15. Export Compliance
You agree to comply with all U.S. export laws and regulations. You will not use or access the Services from jurisdictions subject to U.S. embargo.
16. Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to access the Services will cease immediately.
17. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Herohub does not guarantee that the Services will be uninterrupted or error-free. You use the Services at your own risk.
18. Limitation of Liability
To the fullest extent permitted by law, Herohub shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the Services.
19. Privacy Policy
Your use of the Services is also governed by our
Privacy Policy, which explains how we collect, use, and protect your information.
20. Governing Law
These Terms are governed by the laws of the State of Idaho, without regard to its conflict of laws principles. Any legal action shall be brought exclusively in the state or federal courts located in Idaho.
